Terms and conditions

§ 1 Scope

(1) These General Terms and Conditions (GTC) apply to all contracts between EnglGroup GbR (hereinafter "Provider") and users of the PandaCard platform (hereinafter "User").

(2) Deviating conditions of the User are not recognised unless the Provider expressly agrees to their validity in writing.

§ 2 Subject Matter

(1) The Provider makes a platform for creating and managing digital business cards available to the User.

(2) The exact scope of services depends on the plan chosen by the User (Free, Plus, Team).

(3) In the plan provided for this purpose, the Provider additionally makes available a programmable interface (REST API) and a webhook feature. Via the webhook feature, the Provider automatically transmits data on certain events to a destination address configured by the User themselves. The User determines the recipient and the scope of the transmitted events on their own responsibility.

§ 3 Registration and Contract Formation

(1) Use of the platform requires registration. The User is obliged to provide truthful information.

(2) The contract is concluded upon confirmation of registration by the Provider.

(3) The User has no entitlement to the conclusion of a user agreement.

§ 4 Prices and Payment

(1) The Free plan is free of charge.

(2) For paid plans, the prices stated at the time of ordering apply. All prices are inclusive of statutory VAT.

(3) Payment is made in advance by direct debit, credit card or other offered payment methods.

§ 5 User Obligations

The User undertakes:

  • To keep their login credentials confidential
  • Not to distribute illegal content via the platform
  • Not to misuse the platform
  • Not to provide false or misleading information
  • To keep API access tokens and webhook signing keys confidential in the same way as login credentials and not to pass them on to third parties
  • To be responsible for any webhook destinations they configure — in particular for securing them, for the permissible handling of the data received there, and for informing the data subjects concerned about this transfer
  • Not to use the interface beyond the intended usage limits, in particular not to circumvent technical rate limits

§ 6 Availability

(1) The Provider strives for the most uninterrupted availability of the platform possible.

(2) 100% availability cannot technically be guaranteed. Maintenance work will be announced where possible.

(3) Webhook deliveries are made on a best-effort basis. If a delivery fails, the Provider retries it several times at increasing intervals. Destination addresses that are permanently unreachable or repeatedly respond with errors may be deactivated automatically by the Provider; the User can review and re-activate them in their management interface. There is no entitlement to the delivery of individual events.

§ 7 Liability

(1) The Provider is liable without limitation for intent and gross negligence.

(2) In the case of slight negligence, the Provider is only liable for breach of material contractual obligations and limited to foreseeable, contract-typical damage.

§ 8 Termination

(1) The Free plan can be cancelled at any time.

(2) Paid plans can be cancelled with one month's notice at the end of the billing period.

(3) The right to extraordinary termination for good cause remains unaffected.

§ 9 Privacy

Information on the processing of personal data can be found in our Privacy Policy.

§ 10 Final Provisions

(1) The law of the Federal Republic of Germany applies.

(2) Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
